Membership Agreement and Terms of Service

Effective July 23, 2026 | Version 4.0

ROCK Farmhouse North Texas Farm Collective is a private, contract based membership association administered by ROCK Farmhouse LLC.

The collective exists to help approved members connect with independent farms, ranches, producers, distributors, and other carefully selected sources offering high quality food and household products.

By creating or maintaining a member account, checking the required agreement box, submitting an order, accepting pickup or delivery, or continuing to participate after receiving notice of updated terms, you acknowledge that you have read, understood, and agreed to this Membership Agreement and Terms of Service.

Agreement at a Glance

Private Member Access Catalog access, member pricing, ordering, pickup, and delivery are reserved for approved members.
Advance Member Requests Members request products during established ordering periods and remain responsible for submitted orders.
Personal Household Use Products obtained through the Collective are intended for the approved member and the member's household.

1. Membership and Collective Access

Access to the member catalog and participation in Collective ordering are limited to individuals and households accepted as ROCK Farmhouse members.

Members must be at least 18 years old and must provide accurate contact, payment, pickup, delivery, and account information.

Membership is personal to the approved individual or household. A membership may not be transferred, shared with an unauthorized person, or used by an undisclosed business or commercial operation.

ROCK Farmhouse may approve or decline a membership application at its discretion and may limit new membership based on the Collective capacity, producer availability, delivery capacity, or other operational considerations.

Membership does not create an ownership interest in ROCK Farmhouse LLC, any participating farm, any producer, any animal, any unspecified product, or any other business or property. Members do not receive voting, management, partnership, employment, fiduciary, or equity rights.

2. Purpose and Nature of the Collective

The purpose of the Collective is to enable approved members to coordinate advance requests for products from independent farms, ranches, producers, distributors, and other selected sources.

The Club seeks relationships with sources that value responsible stewardship, transparency, product quality, and practices that may include organic, sustainable, regenerative, pasture based, grass finished, or otherwise carefully considered methods.

The Club is not open to the general public and does not operate as a walk in retail store, public grocery store, or open public marketplace.

The term Club describes the private contractual arrangement administered by ROCK Farmhouse LLC. It does not create a separate corporation, partnership, cooperative, trust, or member owned legal entity.

3. How the Club Works

Members submit requested products and quantities during established ordering periods. ROCK Farmhouse combines participating member requests, communicates collective quantities, coordinates payments and collection, organizes completed orders, and provides scheduled pickup or home delivery.

ROCK Farmhouse LLC does not acquire products for anonymous, on demand purchase by the general public. Products obtained through the Club are connected to advance member requests or other approved Club purposes before they are offered for fulfillment.

Farm production and product availability may be affected by weather, animal health, harvest schedules, processing schedules, seasonality, transportation, supply availability, and other circumstances outside ROCK Farmhouse's control.

ROCK Farmhouse may reduce quantities, cancel unavailable items, issue an applicable refund or account credit, or request member approval before making a material substitution.

4. Appointment of Representatives

By submitting an order, each member appoints ROCK Farmhouse LLC and the persons designated by ROCK Farmhouse as the member's limited purchasing, payment, administrative, collection, custody, and logistics representatives for that order.

Members authorize the designated representatives to:

  • Combine the member's requests with requests submitted by other participating members
  • Communicate quantities and order information to independent product sources
  • Collect and apply member funds toward fulfilling member requests
  • Complete applicable payments to farms, producers, distributors, and other sources
  • Collect products identified and allocated to participating member orders
  • Maintain temporary refrigerated, frozen, or other appropriate custody when necessary
  • Organize collective purchases into individual member orders
  • Coordinate scheduled pickup or home delivery
  • Communicate shortages, delays, recalls, refunds, credits, and other order matters

Participating product sources may communicate and transact through the designated representative rather than separately with every participating member.

This appointment is limited to the administration and fulfillment of Club participation and member orders. It does not create a general power of attorney, partnership, employment relationship, or fiduciary relationship.

5. Independent Farms and Producers

Participating farms, ranches, producers, distributors, manufacturers, and other product sources are independent businesses.

They remain responsible for their own farming, animal care, harvesting, production, processing, packaging, bottling, labeling, testing, licensing, claims, representations, and business practices.

ROCK Farmhouse carefully considers its source relationships, but it does not own or control an independent source's property, animals, facilities, employees, production schedules, daily decisions, or regulatory responsibilities.

The applicable product source may be identified on the product page, packaging, label, order information, member communication, or other Club material.

6. Product Identification and Member Ownership

Membership alone does not create an ownership interest in any unspecified product or inventory.

The parties intend for a participating member to be treated as the owner of products identified and allocated to that member's accepted order when those products are released by the applicable farm, producer, distributor, or other source, subject to applicable law and the terms of that source.

After products have been identified and allocated, ROCK Farmhouse LLC and its designated representatives may maintain temporary possession, custody, refrigeration, freezing, organization, and transportation of those products for the member.

Temporary custody by ROCK Farmhouse does not convert the member's allocated products into anonymous public inventory.

Member Responsibility Begins With the Order

Each member is responsible for reviewing product descriptions, source information, quantities, limits, ordering deadlines, pickup requirements, delivery instructions, and other applicable terms before submitting an order.

7. Member Payments and All Inclusive Pricing

The amount displayed for a product or service is the total amount charged to the member for ROCK Farmhouse to coordinate and fulfill the applicable request.

The displayed member amount may include:

  • The amount paid to the applicable farm, producer, distributor, or other source
  • Payment processing costs
  • Administrative and technology costs
  • Travel and fuel
  • Product collection
  • Refrigeration and temporary storage
  • Sorting and order organization
  • Communication and coordination
  • Local pickup or home delivery
  • Other reasonable costs associated with Club operations

These amounts may be combined within the displayed member price and may not appear as separate line items unless ROCK Farmhouse chooses to show them separately.

Member payments are deposited into the general operating account of ROCK Farmhouse LLC and are applied toward product procurement, Club administration, and fulfillment of member orders.

Member payments are not maintained as individual bank accounts, escrow accounts, trust accounts, investments, or separately segregated custodial funds.

8. Orders and Financial Responsibility

Members are fiscally and financially responsible for every item ordered through their member account.

This responsibility includes one time orders, recurring subscription orders, and orders submitted by a household member or another person whom the member has permitted to access the account.

An order becomes binding when it is submitted, processed, or passes the applicable cancellation deadline.

A member remains responsible for a binding order even if the member later changes plans, is unavailable for pickup or delivery, no longer wants the products, or allows another person to use the member account.

Members are responsible for maintaining a valid payment method and for promptly resolving declined payments, charge disputes, or other payment issues.

9. Subscription Orders

Subscription products constitute recurring advance member requests processed according to the schedule displayed when the subscription is created.

Members authorize recurring charges associated with active subscriptions until the subscription is changed, paused, skipped, or cancelled according to the available subscription terms.

Changes made after a subscription order has processed may not affect the current order cycle and may instead apply to the next scheduled renewal.

Members are responsible for reviewing upcoming subscription orders and making requested changes before the applicable processing deadline.

10. Pickup, Delivery, and Unclaimed Products

Members are responsible for providing complete and accurate pickup, delivery, access, gate, cooler, and contact information.

Pickup members must retrieve their orders during the communicated pickup period unless another arrangement is approved in advance.

When a delivery member may not be available, the member must provide an appropriate insulated cooler in a safe and accessible location.

An order is considered delivered when it is handed to the member or placed at the member's designated delivery location. An order is considered picked up when it is released to the member or the member's authorized recipient.

Failure to retrieve or receive an order does not cancel the order or relieve the member of financial responsibility when ROCK Farmhouse has already obtained products in reliance upon the member's request.

Because many Club products are refrigerated, frozen, fragile, or otherwise perishable, ROCK Farmhouse may refrigerate, freeze, donate, discard, or otherwise dispose of an unclaimed product when reasonably necessary to protect food safety, product quality, Club operations, or other members.

A member is not automatically entitled to a refund or replacement when loss, spoilage, or disposal results from the member's failure to retrieve an order, provide accurate information, provide an appropriate cooler, or follow pickup or delivery instructions.

11. Perishable Food Acknowledgment

Members understand that perishable and minimally processed foods involve inherent risks, including the possible presence of naturally occurring microorganisms, allergens, pathogens, contaminants, spoilage, or temperature changes.

Members are responsible for reviewing product information and determining whether a product is appropriate for themselves and their household.

Members with medical concerns, allergies, compromised immune systems, pregnancy related concerns, or other risk factors should consult an appropriate licensed health professional.

Members are responsible for promptly refrigerating or freezing products following pickup or delivery and for using safe storage, handling, thawing, cooking, and preparation practices.

Nothing communicated through the website, Club, product pages, emails, text messages, social media, or member communications is intended as medical, legal, or other professional advice.

12. Missing, Damaged, or Compromised Products

Members must promptly contact ROCK Farmhouse regarding missing, damaged, leaking, broken, thawed, spoiled, or potentially temperature compromised products.

Members should retain the product, packaging, labels, photographs, and other relevant information until ROCK Farmhouse provides instructions.

Available remedies may include replacement, account credit, refund, or another reasonable resolution based on the circumstances, source policies, and product availability.

ROCK Farmhouse may require reasonable documentation before issuing a remedy.

13. Refunds and Cancellations

Because products are obtained in response to advance member requests and many products are perishable, orders generally may not be cancelled or changed after the applicable cutoff or processing time.

Returns, credits, refunds, and replacements may also be subject to the policies of the applicable farm, producer, distributor, manufacturer, or other product source.

14. Recalls and Safety Notices

Members agree to follow any recall, disposal, return, quarantine, storage, or safety instruction communicated by ROCK Farmhouse, the applicable product source, a manufacturer, or an appropriate government authority.

Members are responsible for maintaining current email, telephone, and delivery information so urgent product notices can be received.

A member who transfers a product to another permitted household recipient remains responsible for communicating applicable recall and safety information to that recipient.

15. Personal Use and Prohibited Conduct

Personal and Household Use Only

Products obtained through the Club are intended solely for the approved member's personal or household use unless ROCK Farmhouse and the applicable product source provide prior written approval for another use.

Club products may not be resold, offered or served to the public, supplied to another buying group, or used to prepare food or beverages for sale.

Products may not be ordered for or used by a restaurant, juice bar, coffee shop, grocery store, retail food establishment, caterer, commercial kitchen, wellness business, or other commercial operation without prior written approval from ROCK Farmhouse and the applicable product source.

Members may not share private catalog access, member pricing, login credentials, or ordering privileges with an unauthorized person or business.

Failure to disclose an intended commercial use or unauthorized recipient may result in immediate restriction, suspension, or termination of membership.

16. Billing and Administrative Services

All membership administration, ordering, billing, payment processing, record keeping, product source communication, purchasing coordination, collection, temporary custody, refrigeration, sorting, pickup, delivery, and other organizational services for the Club are administered by ROCK Farmhouse LLC.

ROCK Farmhouse LLC may perform these services through its owners, managers, employees, independent contractors, couriers, drivers, payment processors, software providers, technology providers, communications providers, and other service partners.

The use of a service provider does not create a separate employment, partnership, ownership, fiduciary, or direct contractual relationship between that provider and the member unless separately agreed in writing.

Members authorize ROCK Farmhouse to maintain records reasonably necessary to administer memberships, orders, payments, communications, pickups, deliveries, credits, refunds, recalls, and Club policies.

Important Legal Notice

17. Assumption of Risk, Release, Waiver, and Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS IMPORTANT LEGAL RIGHTS.

The member understands that participation in a food buying club and the ordering, collection, transportation, temporary storage, pickup, delivery, handling, preparation, and consumption of food and other products involve known and unknown risks.

These risks may include illness, injury, allergic reaction, contamination, naturally occurring microorganisms, pathogens, spoilage, leaking or damaged packaging, broken containers, temperature changes, transportation incidents, delivery conditions, theft, animal interference, weather exposure, improper storage, improper handling, and other risks.

The member voluntarily chooses to participate in the Club and knowingly assumes these risks for the member and the member's household.

To the fullest extent permitted by Texas law, the member voluntarily releases, waives, and forever discharges ROCK Farmhouse LLC, the ROCK Farmhouse Food Buying Club, and their owners, managers, members, employees, agents, representatives, couriers, drivers, contractors, service providers, successors, and assigns from claims for personal injury, illness, death, property damage, economic loss, or other damages arising from or related to Club participation, member orders, products obtained through the Club, product collection, temporary custody, refrigeration, storage, sorting, pickup, delivery, handling, preparation, or consumption.

This release expressly includes, to the fullest extent permitted by law, claims alleging the ordinary negligence of a released party.

This release does not apply to gross negligence, willful misconduct, intentional wrongdoing, or any responsibility that may not lawfully be released or limited.

The member understands that this provision may limit the member's right to bring or maintain certain claims or lawsuits against the released parties.

The member intends this assumption of risk, release, waiver, and limitation of liability to bind the member's heirs, estate, executors, administrators, personal representatives, successors, and assigns.

The member accepts responsibility for persons participating through the member's account and for communicating applicable risks, storage instructions, safety information, and recall notices to the member's household and permitted recipients.

Nothing in this Agreement is intended to waive a legal right that may not lawfully be waived on behalf of another person.

18. Member Indemnification

To the fullest extent permitted by law, the member agrees to defend, indemnify, and hold harmless ROCK Farmhouse LLC, the Club, and their owners, managers, employees, representatives, couriers, contractors, and service providers from claims, demands, losses, expenses, damages, fines, penalties, and reasonable legal costs arising from or related to:

  • The member's breach of this Agreement
  • False, incomplete, or misleading information supplied by the member
  • Unauthorized access to or use of the member's account
  • Unauthorized resale, transfer, distribution, or commercial use of Club products
  • Improper storage, handling, preparation, or use occurring after pickup or delivery
  • Failure to follow a recall, quarantine, disposal, or safety instruction
  • The acts or omissions of the member or a person participating through the member's account
  • Use of Club products by an unauthorized person, business, restaurant, store, juice bar, caterer, commercial kitchen, or other undisclosed third party

This indemnification provision does not require the member to indemnify a released party for gross negligence, willful misconduct, intentional wrongdoing, or responsibility that may not lawfully be transferred.

19. Suspension, Termination, and Inactivity

Membership is a privilege and not an entitlement.

ROCK Farmhouse LLC may approve, decline, suspend, restrict, deactivate, or terminate a membership at any time for any lawful reason when ROCK Farmhouse determines that doing so is appropriate to protect the Club, its members, its product sources, its service providers, its reputation, its safety, its capacity, or its continued operations.

Reasons may include:

  • Failure to follow this Agreement or another Club policy
  • Unauthorized account sharing or unauthorized catalog access
  • Unauthorized resale, transfer, or undisclosed commercial activity
  • Repeated violations of product limits, deadlines, pickup rules, or ordering requirements
  • Nonpayment, fraudulent disputes, or improper payment chargebacks
  • False or misleading account or order information
  • Threatening, abusive, harassing, or disruptive conduct
  • Failure to follow a recall or safety instruction
  • Conduct inconsistent with the goals, relationships, safety, or policies of the Club
  • Extended inactivity or the need to manage Club capacity

Termination or deactivation does not eliminate the member's financial responsibility for orders already processed or products already obtained in reliance upon the member's requests.

Any paid but unfulfilled order and any valid refundable credit will be handled according to the applicable Refund Policy and applicable law.

ROCK Farmhouse may require a former or inactive member to complete a new application and accept the current agreement before access is restored.

20. Privacy and Communications

ROCK Farmhouse respects member privacy and does not sell member personal information to advertisers.

By joining the Club, members agree to receive communications reasonably necessary to administer accounts, memberships, orders, payments, pickups, deliveries, subscriptions, recalls, safety notices, policy updates, and Club operations.

Members may also receive occasional Club announcements or promotional messages and may unsubscribe from optional marketing communications.

21. Governing Law and Venue

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.

Unless applicable law requires otherwise, any legal proceeding arising from this Agreement or Club participation must be brought in a court with jurisdiction in Wise County, Texas, or the applicable federal judicial district.

22. Electronic Consent and Complete Agreement

The member acknowledges having sufficient opportunity to read this entire Agreement, ask questions, and decide whether to participate in the Club.

The member acknowledges having read and understood the Agreement, including the assumption of risk, release, waiver, limitation of liability, and indemnification provisions.

Checking the required agreement box, creating or maintaining an approved account, submitting an order, accepting pickup or delivery, or continuing to participate after receiving notice of revised terms constitutes the member's electronic acceptance of this Agreement.

This Agreement, together with applicable product terms, subscription terms, the Refund Policy, the Privacy Policy, and other policies expressly incorporated by reference, constitutes the complete agreement concerning Club participation.

If any provision is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

A failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

Member Acknowledgment

By accepting this Agreement, the member confirms that participation is voluntary and that the member understands the nature of the Club, the member's financial responsibility, the administrative role of ROCK Farmhouse LLC, the restrictions on resale and commercial use, and the legal provisions contained in this Agreement.

23. Updates to This Agreement

ROCK Farmhouse may update this Agreement to reflect changes in Club operations, product source relationships, technology, capacity, policies, or legal requirements.

Material updates may require members to affirmatively accept a revised version before receiving continued access to the member catalog or ordering functions.

The effective date and version number shown at the top of the Agreement identify the version currently presented for acceptance.
